Why is the combination taking place?

The situation in the Swiss financial center has changed drastically in recent weeks.
Switzerland is one of the most important banking markets in the world and we want to play our part.
UBS is acting from a position of strength and is convinced that a combination will create added value for the Swiss financial center and, above all, for its clients.
Reflecting the seriousness of the situation, the Swiss government has exercised its emergency powers to facilitate a swift consummation of this acquisition, which will occur without the necessity of resolutions passed by the shareholders at a General Meeting.

What are the plans for the combination and how will Switzerland benefit?

Credit Suisse Group AG will be merged with UBS Group AG.
We are at the start of a comprehensive integration planning process to finalize the specific details of the future organization.
While we do not have all the answers at this time, we will provide prompt and transparent updates throughout the process.
The transaction will strengthen Switzerland’s status as a leading global financial center.
We will work with Credit Suisse to continue to create added value for the Swiss economy.
We will expand our offering for all clients in Switzerland in association with Credit Suisse.

What do the combination and future business model entail?

We will create the world’s leading asset manager with approximately USD 5 trillion in assets under management.
UBS Investment Bank will strengthen its global competitive position with institutional, corporate and asset management clients by accelerating its strategic objectives in Global Banking while managing down the remainder of Credit Suisse’s Investment Bank. The combined investment banking business accounts for approximately 25 percent of the Group’s risk-weighted assets.
Attractive financing conditions that include protection against losses.
There has been no change in UBS’s strategy, including growth prospects in the US and in the Asia-Pacific region, with a reduction in both markets and in non-core assets.
UBS remains well above its capitalization target of 13 percent.

Will the Swiss Retail business, Corporate and Wealth Management Business in Switzerland be merged, or will CS's Swiss business be hived off from UBS?

The bank is at the beginning of a comprehensive integration planning process to determine the details of the future organization.
UBS will examine and analyze all options free of bias before making any decisions. UBS is looking for the best solution for shareholders, clients, employees, and the interests of Switzerland in general.
Although the bank is not yet able to answer all questions, it will provide transparent and timely information throughout the process.

What happens to the brand Credit Suisse?

What is the competitive situation in the banking sector in Switzerland?

The combined bank is indeed big, but this has to be put in context:
Both major Swiss banks have massively reduced their balance sheets in recent years.
In 2006, shortly before the start of the financial crisis, the combined balance sheet total of UBS and Credit Suisse was seven times Switzerland’s annual gross domestic product. Today, the combined balance sheet is twice Switzerland’s GDP. And UBS intends to significantly reduce Credit Suisse‘s investment banking activities.
Furthermore, capital and liquidity requirements have been increased significantly in the last 15 years. And already, the Swiss regulatory system has already planned in progressive capital requirements going forward.
What is more important than the absolute size of the bank is its business model, and the inherent risks in the balance sheet. We have, as UBS, learned our lesson and massively reduced the size of our investment bank. In the new combined bank, investment banking should only account for a quarter of risk-weighted assets and serve Wealth Management globally and the universal bank in Switzerland.
