Our contracting standards

At all times when you work with us.

Whenever you provide any of the following:

1. Outsourced Services;
2. BCM-Critical Services/Products;
3. SOX Relevant Services/Products; or
4. any Products or Services that are regulated by a Regulator of UBS.

When all of the following apply:

1. the Products or Services provided by you do not include Resolution-Critical Activities; and
2. the UBS party to the Agreement is established: (a) in a member state of the European Economic Area (EEA) which has implemented, or which at any time implements, the BRRD; or (b) in the UK; and
3. the Agreement is governed by: (a) in the case of EEA established UBS party, the law of a non-EEA jurisdiction; (b) in the case of the UK established UBS party, the law of a non-UK jurisdiction.

Whenever you supply BCM-Critical Services/Products, or support an Important Business Service.

Whenever you have:

1. any Onboarded Staff, or
2. any Staff with access to Unpublished Price Sensitive Information.

Whenever UBS determines that this Policy applies, based on the nature of Products and Services provided by you. 

Whenever you Process any Personal Data which is shared for the purposes of the Agreement.

1. When you and/or any of your Subcontractors is at any time established in a non-EEA jurisdiction and we determine that any Products or Services provided pursuant to an Agreement are UBS ESE Material Outsourced Services; or
2. When we determine that any Products or Services provided pursuant to an Agreement are UBS ESE Material Outsourced Services and involve IVV Relevant Staff.

At all times when you work with us.

Whenever we determine that the Services require the creation or Processing of UBS Information on our behalf, as specified in a Record Management Appendix.

At all times when you work with us.

The Staff Vetting Policy applies to all Category I Staff and Category III Staff (as described on our Supplier Staff Vetting website), involved in the provision of Products or Services to UBS.

Whenever you use Subcontractors in the provision of any Products or Services.

Whenever we determine that any Products or Services provided by you include Resolution-Critical Activities.

Any time you have an Agreement with us.
