Corporate information

UBS AG was formed on 29 June 1998, when Union Bank of Switzerland (founded 1862) and Swiss Bank Corporation (founded 1872) merged to form UBS AG, but its roots go back much further. In 2014, UBS Group AG was established as the holding company for UBS Group. UBS share

UBS Group AG shares are listed on SIX Swiss Exchange and the New York Stock Exchange.

A Global Registered Share is a security that can be traded and transferred across borders without the need for conversion. This means that identical shares can be traded on different stock exchanges in different currencies. For example, the same share purchased on SIX Swiss Exchange can be sold on the New York Stock Exchange or vice versa.

Some US-registered broker-dealers or affiliates are participants of SIX Swiss Exchange (SIX) with their own membership and market-making capabilities. These brokers will accept orders to be executed on SIX and/or the New York Stock Exchange (NYSE). Depending on the broker, you may be charged differently for transactions on SIX compared to the NYSE. Brokers or custodians may also charge an additional fee for the transfer of shares from Switzerland to the US or vice versa.

SIX is expected to be the main exchange for determining the movement in our share price, because of the greater volume of UBS shares traded on SIX. During the hours in which both SIX and NYSE are simultaneously open for trading, price differences between these exchanges are likely to be minimized by professional market-makers. As a result, the share price will typically be similar between the two exchanges when considering the prevailing US dollar / Swiss franc exchange rate. When SIX is closed for trading, globally traded volumes will typically be lower. However, the specialist firm making a market in UBS Group AG shares on the NYSE is required to facilitate sufficient liquidity and maintain an orderly market in UBS Group AG shares throughout normal NYSE trading hours.
