1. Divestiture consulting
We put in place a structured competitive process to establish the best possible terms of divestiture:
- Identification of and contact with potential buyers (industrial / investment funds), with the help of UBS international locations for foreign buyers
- Drafting the documents necessary for the operation (presentation file, business plan, etc.)
Negotiation of all the terms of the transaction until its completion - Coordination of all stakeholders (lawyers, auditors, etc.)
- Special acumen of the team in operations with the financial community (LBO).
2. Acquisition consulting
We accompany the manager in an external growth process in order to optimize the conditions for acquisition:
- Target approach and project feasibility validation (valuation of the target, understanding of its positioning, its development prospects)
- Coordination of all audits aimed at validating communicated information as well as identifying accounting, financial, legal, strategic risks, etc.
- Trading assistance (price, terms of payment, guarantee of assets and liabilities)
- Financial structuring of the operation and search for financing.
3. Financing consultation
We seek partners and negotiate optimal financial terms:
- Analysis of the feasibility of the operation (shareholding structure, financial structure, cash flows)
