The Board of Directors has issued revised Organization Regulations (ORs) based on article 716b of the Swiss Code of Obligations and article 24 and 26 of the Articles of Association. The ORs are valid as of 1 January 2012 and define the details of the Group’s organization and the responsibilities and authorities of the various corporate bodies.

The most important issues governed by the ORs are:

• Board of Directors, Board Committees, Chairman, Company Secretary
• Group Executive Board, Group Chief Executive Officer, Group Chief Financial Officer, Group Chief Operating Officer, Group Risk Officer, Group General Counsel, Group Regional CEOs and Divisional CEOs
• Group Internal Audit
