Board of Directors (BoD)

The BoD has ultimate responsibility for the mid- and longterm strategic direction of the UBS Group (Group), for appointments and dismissals at top management level and for the definition of the firm’s risk principles and risk capacity.

Shareholders elect each member of the BoD, which in turn appoints its Chairman, at least one vice chairman and the members of its various committees.

	Kaspar Villiger Kaspar Villiger was elected to the Board of Directors (BoD) at the annual general meeting (AGM) held in 2009 and thereafter appointed Chairman of the BoD. He chairs the governance and nominating committee and the corporate responsibility committee. CV

	Sergio Marchionne Sergio Marchionne was elected to the BoD at the AGM 2007 and appointed independent vice chairman and senior independent director in 2008. He is a member of the governance and nominating committee. CV

	Sally Bott Sally Bott was elected to the BoD at the extraordinary general meeting (EGM) in October 2008. She chairs the human resources and compensation committee and is a member of the corporate responsibility committee. CV

	Michel Demaré Michel Demaré was elected to the BoD at the AGM 2009. He is a member of the audit committee. CV

	Rainer-Marc Frey Rainer-Marc Frey was elected to the BoD at the EGM in October 2008. He is a member of the risk committee. CV

	Bruno Gehrig Bruno Gehrig was elected to the BoD at the EGM in October 2008. He is a member of the governance and nominating committee and of the human resources and compensation committee. CV

	Ann F. Godbehere Ann F. Godbehere was elected to the BoD at the AGM 2009. She is a member of the audit committee and of the corporate responsibility committee. CV
