Organization regulations
The Board of Directors has issued newly amended organization regulations (ORs) based on article 716b of the Swiss Code of Obligations and article 24 and 26 of the Articles of Association. Subject to FINMA approval, they are valid as of 1 November 2009 and define the details of the Group’s organization and the responsibilities and authorities of the various corporate bodies.
The most important issues governed by the ORs are:
Board of Directors, Board Committees, Chairman
Group Executive Board, Group Chief Executive Officer, Group Chief Financial Officer, Group Chief Operating Officer, Group Risk Officer, Group General Counsel, Regional and divisional CEOs
